Popovici Nițu Stoica & Asociații has assisted the founders of Unicool Group on the sale to SYCLEF, a European leader in commercial refrigeration, industrial refrigeration and HVAC.

The PNSA team was led by Silviu Stoica – Partner and Vlad Ambrozie – Managing Associate.

The transaction marks SYCLEF's first direct presence in Romania and supports its expansion strategy across Central and Eastern Europe. Completion remains subject to customary regulatory approvals, including clearance from the Romanian Competition Council and the Commission for the Examination of Foreign Direct Investments.

PNSA provided comprehensive legal assistance to the founders throughout the M&A process, including transaction structuring, transaction documents, negotiations and assistance to signing. The PNSA team was led by Silviu Stoica – Partner and Vlad Ambrozie – Managing Associate.

Founded in 2011 and based in Cluj County, Unicool Group comprises Unicool Instalații Frig SRL and Acsa Coolteam SRL, companies active in commercial refrigeration solutions for retail, logistics, pharmaceutical, industrial and HoReCa clients. In 2025, Unicool Group reported consolidated turnover of approximately EUR 16 million and had more than 140 employees.
